End User License Agreement

Applies to: Meridian: Project Everlast, including its demo build, Early Access content, and official community integrations.
This End User License Agreement ("EULA") is a legal agreement between you and VexinArcane, operating as Archlight Studios ("Archlight Studios," "we," "us," or "our"), governing your use of Meridian: Project Everlast (the "Game"), including any updates, patches, downloadable content, and the demo build. By installing, copying, or otherwise using the Game, you agree to be bound by this EULA. If you do not agree, do not install or use the Game.
The Game is distributed through Steam and your use of it is also subject to the Steam Subscriber Agreement. If there's a direct conflict between this EULA and the Steam Subscriber Agreement regarding platform-level matters (such as billing, refunds, or account access), the Steam Subscriber Agreement governs those matters.
1. License Grant
Subject to your compliance with this EULA, we grant you a personal, non-exclusive, non-transferable, revocable, limited license to install and use one copy of the Game on devices you own or control, for your own personal, non-commercial entertainment purposes. This license does not transfer ownership of the Game to you — the Game is licensed, not sold.
2. Ownership
The Game, including all code, art, audio, writing, entity and character designs, world design, and other content, is owned by VexinArcane or licensed to us by our own licensors (including third-party engine and middleware providers), and is protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted to you in this EULA are reserved by us.
3. Restrictions
You agree not to, and not to permit others to:
- Copy, distribute, sell, rent, lease, sublicense, or otherwise transfer the Game outside of Steam's own supported mechanisms
- Reverse engineer, decompile, or disassemble the Game, except to the extent this restriction is prohibited by applicable law
- Modify, adapt, or create derivative works of the Game outside of officially supported Mod Creator and Steam Workshop tools
- Remove or alter any copyright, trademark, or other proprietary notices in the Game
- Use cheats, automation software (bots), hacks, mods not distributed through official channels, or any unauthorized third-party software to interfere with the Game or other players' experience
- Exploit the Game or its multiplayer/networking functions for any unlawful purpose, including harassment of other players
- Use the Game for any commercial purpose without our prior written permission
4. Online Features, Multiplayer, Community & Discord Integration
The Game includes optional peer-to-peer multiplayer powered by the Steamworks SDK, and save functionality that uses Steam Cloud where available. These features depend on Valve's Steam services and your internet connection. Our website and community features also integrate with our official Discord server, broadcasting live dev logs, patch notes, and announcements to the website. In multiplayer sessions, the session host's save is authoritative. We may introduce host migration, dedicated servers, or other multiplayer changes in future updates, in which case this EULA continues to apply.
5. Modding & Steam Workshop
The Game includes an in-game Mod Creator and supports Steam Workshop for sharing custom maps, entities, gamemodes, items, and other content ("Mods"). You retain ownership of original creative content you author within a Mod. By uploading a Mod to Steam Workshop, you grant us, and grant other players who download your Mod through Workshop, a non-exclusive, royalty-free, worldwide license to use, display, and distribute that Mod through the Game and Workshop.
6. Updates & Changes to the Game
We may release updates, patches, and new content for the Game, including transitioning from a demo build into Steam Early Access and beyond. Features, systems, and content described in any current build may change, expand, or be removed as development continues.
7. Content & Age Guidance
Meridian: Project Everlast is a psychological and survival horror game and may contain intense, frightening, or unsettling content. By using the Game, you confirm that you meet any minimum age requirement listed on its store page, or have the consent of a parent or guardian.
8. Third-Party Software
The Game is built using Unreal Engine 5 and may include other third-party software, libraries, or middleware, each of which is owned by its respective provider and subject to its own license terms.
9. Termination
This EULA is effective until terminated. It terminates automatically if you fail to comply with any of its terms. We may suspend or terminate your license if you violate this EULA, engage in cheating or harassment, or misuse Workshop features. Upon termination, you must stop using the Game and uninstall it.
10. Disclaimer of Warranties
The Game is provided "as is" and "as available," without warranty of any kind, express or implied. We don't warrant that the Game will be uninterrupted, error-free, or free of harmful components.
11. Limitation of Liability
To the fullest extent permitted by law, VexinArcane will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising from your use of the Game.
12. Export Compliance
You agree to comply with all applicable export and re-export control laws and regulations in your use of the Game.
13. Changes to This EULA
We may update this EULA as the Game evolves. We will update the Effective Date above when we do. Continuing to use the Game after a change means you accept the updated EULA.
14. Governing Law
This EULA is governed by the laws of Florida, USA, without regard to conflict-of-law principles.
